This commitment is rooted in our belief that artificial intelligence is more than a talking point — it's a reality and plays a huge role in the future of every industry. Zocket is the next generation of ad tech and we're committed to improving its performance to help you achieve maximum conversion rates.
These General Terms, the Acceptable Use Rules, and the Payment Terms (collectively, the "Zocket Terms") govern access to and use of any websites, products, or services (collectively "Services") offered by Zocket ("ZOCKET" or "we").
Our services are not for consumers or private or household purposes — only for businesses and professional users. If you access or use any of our Services, the Zocket Terms form a legally binding contract between you and Zocket.
You must not access or use services unless: (A) you are acting in a business or professional capacity, (B) you accept these terms on behalf of yourself and your organization, and (C) if acting on behalf of an organization, you are authorized to do so.
Acceptable Use Policy
You Must
- Ensure compliance with all Zocket Terms
- Upload accurate, lawful Ad Content which you control or own rights to
- Use reasonable efforts to prevent unauthorized access
- Keep Login Information confidential
- Monitor and control all account activity
- Promptly notify of security breaches
- Comply with all Third-Party Services terms
You Must Not
- Make Services available to anyone except Authorized Users
- Permit third parties to access your Login Information or account
- Use Services to process non-public information or sensitive personal data
- Sell, trade, or transfer your account
- Use the Services to store or transmit content that may be infringing, defamatory, threatening, or harmful
- Upload data with viruses, malware, or harmful components
- Attempt to reverse engineer, decompile, hack, disable, or interfere with Services
- Attempt unauthorized access or circumvent security mechanisms
- Access Services to build competitive products or copy features
- Engage in abusive practices or deceitful activities
Your Rights and Obligations
We grant you a non-exclusive, non-transferable, revocable, limited, personal right to access our Services. You are responsible for your Login Information and Authorized Users. You may use Services only for your own business, not to build competitive products or copy features.
You must be a registered Facebook or Google Ads user with an active advertising account to use the Services.
Ads Content
You are solely responsible for all Ads Content that you or your Authorized Users upload, publish, display, link to, or otherwise make available via the Services. "Ads Content" includes all information, text, images, photos, videos, audio, documents and other content in any media and format provided in connection with Services use.
We have the right but no obligation to review, filter, block, or remove any Ads Content that you publish or make available via our Services.
Third Party Content and Services
We are not responsible for any services provided by Facebook, Google Ads (the "Advertising Platforms"), or for any other services, information or content accessed or purchased through Zocket. You must comply with all applicable Third-Party Services terms and conditions.
You remain responsible for the payment of the ads purchased through our Services directly to the Advertising Platforms.
Confidentiality and Data Protection
Non-public information must be kept confidential with reasonable security measures. We will not use or control any of the personal data that you process with our Services — we merely offer you tools with which you can process data. You must comply with all applicable data privacy and data protection laws.
We will keep the information until the customer requires it to be deleted from our platform. Customers can request to get all information deleted by sending an email to support@zocket.com.
Intellectual Property
You retain all rights to your Ads Content. We use it only for providing, supporting, and improving Services in compliance with these terms. We retain all right, title, and interest in the Services.
Suggestions and feedback may be used by Zocket without confidentiality obligation. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, fully paid-up license to use and exploit the Feedback for any purpose.
Charges and Payment
You must timely pay applicable fees. You remain responsible at all times for the direct payment of the ads purchased through our Services to the Advertising Platforms.
Cancellation and Termination
Cancellation stops auto-renewal but subscriptions remain active until the billing cycle end. Cancellation does not delete your account; you can re-subscribe anytime. All subscriptions are auto-renewed unless explicitly cancelled.
We may both terminate the Zocket Terms, effective immediately, if the other party commits a material breach and fails to remedy such breach within thirty (30) days of receiving a written request to cure. We may suspend or terminate access if you violate the Acceptable Use Policy or create legal risk.
Upon cancellation or termination: Services cease and account access ends. No refunds unless otherwise provided. Prepaid fees for unutilized services will be refunded. For subscription cancellations with agency ad accounts, unutilized ad account balances will be refunded.
Warranty Disclaimer
We offer the Services "as is," without any express warranties, representations, guarantees or conditions unless we expressly agree to a limited warranty. You use all Services at your own risk. To the greatest extent permitted by applicable law, we disclaim any warranties, representations, guarantees and conditions of any kind, whether express, implied, statutory, or otherwise.
Limitation of Liability
Our aggregate liability to you for any and all claims of any kind shall not exceed the greater of (A) the fees we received from you for the Services subject to the claim during the three (3) month period immediately preceding the date on which the cause of action arose and (B) USD $500.
We shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, or data or other intangible losses.
Governing Law and Arbitration
These Zocket Terms and any dispute arising out of or in connection with these Terms or Services will be governed by the laws of the State of Delaware, without giving effect to conflicts of law principles thereof.
All disputes shall be finally resolved by binding arbitration before three (3) arbitrators pursuant to the rules and under the auspices of the American Arbitration Association. Arbitration shall be conducted in English in Wilmington, Delaware.
Except for certain types of disputes or where prohibited by applicable law, you agree that disputes between you and Zocket will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.
Miscellaneous
You may not assign or otherwise transfer any of your rights or obligations, whether by merger, sale of assets, change of control, operation of law, or otherwise, without our prior written consent. We may freely assign or delegate all rights and obligations fully or partially without notice to you.
Each provision of these Zocket Terms is severable. If any provision is or becomes illegal, invalid, or unenforceable in any jurisdiction, it will not affect the remaining provisions.
These Zocket Terms constitute the entire agreement between the parties with respect to the use of the Services and supersede any prior or inconsistent agreements, negotiations, representations, and promises, written or oral.
